1. Agreement to terms
These Terms of Service ("Terms") form a binding agreement between you and Syncronify Ltd ("Syncronify", "we", "us", or "our") and govern your access to and use of the Syncronify API and related services (the "Service").
By creating an account, connecting a store, or otherwise using the Service, you agree to these Terms. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation, and "you" refers to both you and the organisation.
2. Definitions
- ◈"Workspace" — an isolated environment within your account, typically one per client or store group, with its own API key and billing.
- ◈"Integration" — a connection between Syncronify and a third-party platform or store that you authorise.
- ◈"Store Data" — the product, order, inventory, and related records that flow through the Service from your connected platforms.
- ◈"API Key" — the credential that authenticates requests made to the Service.
3. Accounts & workspaces
You must provide accurate account information and keep it up to date. You are responsible for safeguarding your credentials and API keys, and for all activity that occurs under your account. Notify us immediately of any unauthorised use.
Each workspace is intended to isolate one client or store group. You may create multiple workspaces subject to the limits of your plan. You are responsible for the actions of every user you invite into your workspaces.
4. Acceptable use
You agree not to:
- ◈Use the Service to violate any law or the rights of others.
- ◈Connect data or platforms you are not authorised to access.
- ◈Attempt to breach, probe, or circumvent the security of the Service.
- ◈Resell, sublicense, or expose raw access to the Service in a way that competes with Syncronify, except as expressly permitted.
- ◈Overload the Service, evade rate limits, or interfere with other users.
- ◈Reverse engineer the Service except to the extent that restriction is prohibited by law.
5. Your data & integrations
You retain all rights to your Store Data. You grant us a limited licence to host, process, and transmit it solely to provide the Service to you. You are responsible for ensuring you have the right to connect each integration and to process the data it contains, including compliance with the terms of the underlying platforms.
Third-party platforms are operated by their respective owners. Their availability, behaviour, and API changes are outside our control, and we are not responsible for data loss or downtime caused by a connected platform.
6. Fees, billing & plans
Paid plans are billed in advance on a monthly or annual cycle through our third-party payment processor. By subscribing, you authorise recurring charges until you cancel.
- ◈The free tier lets you connect a first store at no cost, subject to its stated limits.
- ◈Upgrades take effect immediately; downgrades take effect at the start of the next billing cycle.
- ◈Fees are exclusive of taxes, which we add where required.
- ◈Except where required by law, payments are non-refundable, and we do not provide refunds or credits for partial periods.
We may change our prices with at least 30 days' notice. Continued use after a price change takes effect constitutes acceptance of the new pricing.
7. API usage & fair use
Your plan defines the request volume, workspace count, and integration limits available to you. We apply rate limits to protect the Service for everyone. If your usage materially exceeds your plan or threatens the stability of the Service, we may throttle requests or ask you to upgrade. We will make reasonable efforts to warn you before taking action.
8. Intellectual property
The Service, including its software, APIs, documentation, and branding, is owned by Syncronify and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms. All rights not expressly granted are reserved. Any feedback you provide may be used by us without obligation to you.
9. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that it will meet every requirement, nor do we guarantee the accuracy of data retrieved from third-party platforms.
10. Limitation of liability
To the maximum extent permitted by law, Syncronify will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to the Service will not exceed the amount you paid us in the twelve months preceding the claim. Nothing in these Terms limits liability that cannot be limited by law.
11. Indemnification
You agree to indemnify and hold harmless Syncronify and its officers, employees, and agents from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, your Store Data, or your breach of these Terms.
12. Term & termination
These Terms apply for as long as you use the Service. You may cancel at any time from your account settings. We may suspend or terminate your access if you breach these Terms, fail to pay, or use the Service in a way that risks harm to others.
On termination, your right to use the Service ends and we will delete or anonymise your data in line with our Privacy Policy. Sections that by their nature should survive termination — including fees owed, intellectual property, disclaimers, and limitation of liability — will continue to apply.
13. Changes to the Service & Terms
We may modify or discontinue features of the Service at any time. We may also update these Terms; when we make material changes, we will update the 'Last updated' date and notify you where appropriate. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
14. Governing law
These Terms are governed by the laws of the jurisdiction in which Syncronify is established, without regard to conflict-of-law principles. The courts of that jurisdiction will have exclusive jurisdiction over any dispute, subject to any mandatory consumer-protection rights you may have where you live.
